o The Contractor shall carry out any Low Value Change requested by the Authority.
o If a Low Value Change is required by the Authority, it shall submit to the Contractor a Low Value Change Request.
• Agreeing a Catalogue
o Within [xx] Business Days, the Provider shall propose a catalogue of small value changes to the Facilities and Services to the Authority (the "Proposed Catalogue").
o The Authority shall respond to the Proposed Catalogue within [20] Business Days following receipt either:
■ to confirm its agreement with the Proposed Catalogue, or
■ to request a meeting with the Provider to discuss the Proposed Catalogue,
o Where the Authority requests a meeting the parties shall meet in good faith to discuss the Proposed Catalogue and seek to agree any amendments to the Proposed Catalogue within [15 ]Business Days following such request. Any failure by the parties to agree shall be referred for determination in accordance with the disputes resolution procedure.
o Following agreement of the Proposed Catalogue (together with any amendments agreed or determined) such catalogue shall be the Catalogue applicable for the [then current and the immediately following] Year
o The parties acknowledge that the resulting Catalogue shall include:
■ a unit price for purchase and installation in respect of each change listed, and derived (where possible) from [the BMI Price Book;]
■ standard timescales for implementation of each change listed;
and
■ a schedule of rates for any Specialist Services which may be required by the Provider to implement such changes provided that the parties agree that it is anticipated that the need for Specialist Services is likely to arise in respect of only a limited number of Catalogue Changes.
