10.1 No party to this Agreement may assign or transfer any part of its rights or obligations under this Agreement save as provided in this paragraph 10 (Assignation).
10.2 The Agent may assign, novate or transfer its rights and obligations under this Agreement and in respect of the Security Documents to a successor Agent in accordance with the Senior Funding Agreements without the consent of the Authority and any such assignation novation or transfer shall not constitute a Change of Control for the purposes of Clause 58.6 of the Design Build Finance and Maintain Agreement. The Authority also agrees that any enforcement by the Agent of the security referred to in paragraph 2.5 above (and any subsequent transfer of share capital in Sub-hubco) following an Enforcement Event shall not constitute a Sub-hubco Event of Default under Clause 40.1.6 (Change in Control) of the Design Build Finance and Maintain Agreement.
10.3 Any Senior Funder may assign or transfer its rights under the [Senior Funding Agreements] in accordance with the terms of the [Senior Funding Agreements].
10.4 The Authority may transfer its rights and obligations under this Agreement to any permitted assignee of its interest in the Design Build Finance and Maintain Agreement and the Agent and the Senior Funders shall co-operate with the Authority in completing the formalities of any transfer or assignment including by executing any additional documents as may be required by the Authority.
10.5 If paragraph 10.2 applies in relation to the Agent, the Authority shall enter into a new direct Agreement with the new Agent on substantially the same terms as this Agreement.
