No Party shall assign or transfer any part of its respective rights or obligations under this Agreement without the prior consent of the others (such consent not to be unreasonably withheld or delayed), provided that:
7.2.1 Project Co shall not assign this Agreement to any party other than a party to whom Project Co's interests in the Design Build Finance and Maintain Agreement and Service Contract are assigned in accordance with the terms of the Design Build Finance and Maintain Agreement and Service Contract respectively;
7.2.2 the Authority shall be entitled, without the consent of any other Party, to transfer all its rights and obligations hereunder, to any person to whom it assigns or otherwise disposes of the benefit of the Design Build Finance and Maintain Agreement in accordance with Clause 57 (Assignation and Sub-Contracting) of the Design Build Finance and Maintain Agreement and, otherwise, with Project Co's and the Service Provider's consent (not to be unreasonably withheld or delayed);
7.2.3 nothing in this sub-clause shall restrict the rights of the Secretary of State to effect a statutory transfer;
7.2.4 the Service Provider shall assign this Agreement to any party to whom it assigns the Service Contract (in accordance with the terms of that agreement).
7.2.5 the Security Trustee may assign or transfer its rights and obligations to a successor trustee of the Funders under the Funding Agreement without the consent of any other Party and this Clause 7.2 (Restriction on Assignation) shall not prevent any Funder assigning or transferring its rights under the Funding Agreements and the Security Documents in accordance with the terms of the Funding Agreements.
