3  ASSET LOCK

3.1  The Company shall not transfer any of its assets other than for full consideration.

3.2  The preceding Article shall not apply to:-

3.2.1  any transfer of assets to the Charity, or

3.2.2  any distribution of assets on a winding up, but only to the extent permitted under Article 2.11 or Article 2.12.
