16.1 For the avoidance of doubt, the members shall not be entitled (whether by special resolution or otherwise)
16.1.1 to alter the scope of the directors' powers or functions, or
16.1.2 to require the directors to act in a specified manner or issue any other direction to the directors in relation to the exercise of any of their powers.
16.2 The directors shall not exercise the powers of the Company to implement any change to the insurance arrangements which would increase the level and/or scope of cover beyond that expressly required by any Transaction Document without the consent of the B Director.
