17  ROLES OF B DIRECTOR AND C DIRECTORS

17.1  The A Directors shall note that the B Director and the C Directors are intended to perform the following roles (but on the understanding that the A Directors shall not be under any obligation to ensure or verify that the B Director is or the C Directors are in fact performing such roles):

17.1.1  the B Director is intended to have the key role in initiating and managing any proposal (as provided for in Article 18) which is intended to increase the level of profits available to maximise payments to the Charity;

17.1.2  the C Director is intended to communicate (subject to his fiduciary duties) with the wider stakeholder group having an interest in the [describe new facilities] which are the subject of the Project Agreement; and

17.1.3  the B Director is intended to have the key role in (a) setting any conditions attaching to payments by the Company to the Charity, (b) determining whether or not, in any case where the approval of the Company is required in respect of any such conditions, such approval should be issued (c) determining whether or not, and in what form, enforcement action should be taken by the Company against the Charity in the event of breach of any such conditions (in accordance with Article 20) and (d) determining all other matters and taking all other steps in connection with any such conditions.
