22.1 The member holding the D Share shall be entitled to create (but not obliged to create) a committee (referred to in these Articles as "the Users' Group"). The members of any Users' Group will consist of[ ].
22.2 The function of the Users' Group shall be to prepare reports and recommendations, on matters relevant to users, for consideration by the board of directors.
22.3 The producers in relation to election/nomination/appointment and removal of the members of the Users' Group, and the rules relating to the conduct of meetings of the Users' Group, shall be as determined from time to time by the member holding the D Share.
22.4 The directors shall give consideration to the reports and recommendations issued from time to time by the Users' Group, but the Users' Group shall have no power to issue directions or instructions to the board of directors, the directors must exercise their own judgement in determining whether or not to give effect to reports/recommendations issued by the Users' Group.
