12.7 hubco's Representative shall be [Insert the name of the hubco representative] or such other person appointed from time to time pursuant to this clause. hubco's Representative shall have full authority to act on behalf of hubco for all purposes of this Agreement. Except as previously notified in writing before such act by hubco to the Participants, the Participants and the Participants' Representatives shall be entitled to treat any act of hubco's Representative in connection with this Agreement as being expressly authorised by hubco and the Participants' Representatives shall not be required to determine whether any express authority has in fact been given.
12.8 hubco may, by written notice to the Participants, change hubco's Representative. Where hubco wishes to do so it shall by written notice to the Participants' Representatives propose a replacement for approval, taking account of the need for liaison and continuity in respect of this Agreement. Such appointment shall be subject to the approval of the Participants (not to be unreasonably withheld or delayed).
