18.4 hubco:
18.4.1 hereby grants to each Participant, free of charge, an irrevocable, non exclusive and transferable (but only to any assignee or transferee of any rights or benefits under this Agreement or upon or at any time following termination of this Agreement) licence (carrying the right to grant sub licences) to use the Intellectual Property Rights which are or become vested in hubco; and
18.4.2 shall, where any Intellectual Property Rights are or become vested in a third party, use all reasonable endeavours to procure the grant of a like licence to that referred to in Clause 18.4.1 above to each Participant,
in both cases, solely for the Approved Purposes.
18.5 hubco shall use all reasonable endeavours to ensure that any Intellectual Property Rights created, brought into existence or acquired during the term of this Agreement vest, and remain vested throughout the term of this Agreement, in hubco and hubco shall enter into appropriate agreements with any hubco Party (or other third parties) that may create or bring into existence, or from which it may acquire, any Intellectual Property Rights.
