23.13 hubco shall reimburse each Participant for all reasonable costs incurred by that Participant as a result of hubco's breach of any of its obligations under this Agreement or their exercise of their rights under this Agreement in respect of such breach (including, without limitation, any relevant increased administrative expenses and the reasonable and proper costs of the Participant incurred under this Agreement and the Shareholders Agreement resulting from the occurrence of a termination of this Agreement pursuant to this Clause 23 (the "Participants' Costs")).
