1. Each Participant shall deliver to hubco a certified copy of the board or committee resolution of that Participant approving the execution, delivery and performance of this Agreement and in each case authorising a named person or persons to execute and deliver each such document and any documents to be delivered by it pursuant thereto.
2. The Participants shall deliver to hubco a certified copy of SFT's formal approval to sign the Shareholders Agreement.
