PART 10 - ACCESSION AGREEMENT

This is the Accession Agreement referred to in Clause 31 (Change in Parties to the Partnering Agreement).

Agreement AMONG:

each of (2) and (3) being the "Continuing Participants"; and

This Agreement is supplemental to the partnering agreement (the "Territory Partnering Agreement") dated [ ] 200[ ] between [hubco] and the Continuing Participants.

Words and expressions defined in the Territory Partnering Agreement have the same meanings when used in this Agreement.

[           ] hereby agrees with each other person who is or who becomes a party to the Territory Partnering Agreement at today's date that with effect on and from the date of its execution of this Agreement it is bound by the Territory Partnering Agreement as a Participant as if it had been party originally to the Territory Partnering Agreement in that capacity.

This Agreement is subject to and shall be construed in accordance with the law of Scotland.
