8.1 No Party to this Agreement shall be entitled to assign, charge or transfer its interest, or any part thereof, in this Agreement without the prior consent of [the] [each] other Party hereto.
8.2 The Board shall assign or transfer its interest in and to the Agreement to any party to whom it assigns or transfers its interests in and to the Project Agreement in accordance with Clause 50 of the Project Agreement.
8.3 The Junior Funders shall procure that any party to whom all or any of the Loan Stock are transferred shall enter into a new direct agreement with the Board on substantially the same terms as this Agreement.
