(A) The Board and Project Co have agreed the terms on which Project Co will design, develop and construct and provide certain services in connection with the redevelopment of [description of facilities] (the "Development") at the Site (as that expression is defined in the Project Agreement) and, accordingly, have entered into the Project Agreement and the Project Documents.

(D) The Service Provider and Project Co have entered into an agreement of even date herewith relating to the provision of certain of the Services (as defined in the Project Agreement) by the Service Provider to enable Project Co to discharge its obligations to the Board regarding such Services under the Project Agreement and the Project Documents (the "Service Contract").
(E) This Service Provider's Collateral Agreement (the "Agreement") is one of the Service Providers' Collateral Agreements contemplated by the Project Agreement.
NOW IT IS HEREBY AGREED as follows:
