10.4 Head Lease
10.4.1 Except in the circumstances provided for in Clauses 81.1.1. 81.1.2 and 81.1.3 (Restrictions on Transfer of this Contract by the Authority), the Authority shall not without the Contractor's consent (such consent not to be unreasonably withheld or delayed) surrender or assign any Head Lease and shall comply with the obligations on the part of the tenant under the Head Lease.
10.4.2 If any Head Lease is forfeited by a Superior Landlord following a breach by the Authority of its tenant covenants (other than where due in whole or part to an act or omission of the Contractor or any Contractor Related Party) then the provisions of Clause 39 (Compensation Events) shall apply. The Parties agree that in the event the Authority applies for relief from forfeiture in respect of any Head Lease then the Contractor will not also apply for relief from forfeiture.
10.4.3 The Contractor will at all times observe and perform the obligations on the part of the tenant contained in the Underleases and will not do or omit to do any act or thing which would result in the Authority being in breach of the obligations on the part of the tenant contained in the Head Leases.
10.4.4 Subject to Clause 10.4.2 nothing in this Clause 10 shall prevent the Contractor from seeking relief from forfeiture.
