Third Party Contracts

How on-going contracts with customers and third parties will be handled.

Mechanism for identifying which contracts the Authority may wish to take on exit, identifying how those contracts should be transferred (e.g. assigned, split or novated), reconciling any payments made in advance or arrears and allocating responsibility for any actions or omissions taking place before or after exit.

Obligation on the Service Provider to ensure that its agreements with third parties are capable of being assigned to the Authority, or new service provider, without restriction and at no cost.

For contracts that the Service Provider is managing set out the process and timetable leading up to exit for identifying and handing over the management responsibilities in a timely manner together with any documentation on related issues such as health and safety records, materials, workmanship, payments to date.
