44.2 and 44.3

44.2  On termination of this Agreement pursuant to clause 37.2 (Termination on an Authority Break Point Date) the Authority shall pay the Contractor the Authority Default Termination Sum in accordance with clause 44.1 (Authority Default Termination Sum), clause 48 (Miscellaneous Compensation Provisions) and clause 49 (Method of Payment), save that in calculating such amount, the amount specified in clause 44.1.3 (Authority Default Termination Sum) shall be substituted by:

[(A) in the case of termination on the first Authority Break Point Date,] £[  ]; [or]

(B) [in the case of termination on the second Authority Break Point Date, £[  ];]

44.3  On payment of the amount referred to in clause 44.1 (Authority Default Termination Sum) the Authority shall have the option to require the Contractor to transfer its right, title and interest in and to the Assets to the Authority or as directed by the Authority.
