64.2 Notification

(a) Without prejudice to clause 64.5 (Change in Ownership), the Contractor shall provide the Authority with at least twenty (20) Business Days' prior written notice of any Change in Ownership contemplated by the Contractor to enable the Authority to determine whether the Authority considers the transfer to be to an Unsuitable Third Party.

(b) If the Authority forms the view that the proposed Change in Ownership is to an Unsuitable Third Party it will promptly notify the Contractor in writing that it objects to the proposed Change in Ownership and is withholding its written consent to the Change in Ownership under clause 64.5.4.
