The ISDS Documents

The ISDS comprises two volumes.  This Volume 1, the 'Instructions and Guidance to Bidders' (the 'Instructions') provides the details of the competitive dialogue being conducted by the Local Authority to select a Service Provider to enter into a PFI Contract for the [insert name of project].  Part 1 of these Instructions provides general information in respect of the competition and the ISDS documents.  Part 2 sets out further information relating to the project.  Part 3 contains the instructions to Bidders, with Part 4 containing an explanation of the Solutions required.  Part 5 sets out a detailed explanation of the service delivery and technical, financial and commercial, and legal and contractual requirements for Solutions.  Part 6 sets out the criteria that will be used to evaluate Solutions and subsequently award the Contract.

The principal Contract between the Local Authority and the Service Provider will be the PFI Contract.  Volume 2 of the ISDS contains a draft of the PFI Contract (the Model Contract), including the proposed Output Specification and payment mechanism for the project.  The Model Contract is based on the model documentation included in the 4ps [insert name of Procurement Pack] (which itself is based on the guidance included in Standardisation of PFI Contracts issued by HM Treasury).

Both volumes of the ISDS are also supplied on CD, included with this hard copy.  In the case of conflict between the contents of the hard copy of the ISDS documents and the CD, the hard copy shall prevail.

The ISDS documents set out the Local Authority's current requirements in respect of the [insert name of project].  In the event of any inconsistency, the ISDS documents and enclosures will take precedence over any documents previously issued by the Local Authority.
