Recitals

A  The Authority is entering into this agreement pursuant to its powers [under Section 1 of the Fire and Rescue Services Act 2004] [under Sections 3 and 6 of the Police Act 1996] and Sections 111 and 120 of the Local Government Act 1972 (as applied by Section 146A of the Local Government Act 1972).

B  The Authority wishes to procure [new police headquarters] [new fire and rescue services headquarters] to be located at [                   ].

C  Proposals were submitted on behalf of the Contractor in response to the Authority's invitation.  Following negotiations, it appears to the Authority to be expedient, for the purpose of, or in connection with, the discharge of its functions to enter into this agreement (the "Agreement"), which sets out the terms and conditions upon which the Contractor will carry out the Project.

D  This Agreement is entered into under the Government's Private Finance Initiative ("PFI").

E  This Agreement is excluded from Part II of the Housing Grants Construction and Regeneration Act 1996 by operation of paragraph [      ] of the Construction Contracts (England and Wales) Exclusion Order 1998.  The Contractor acknowledges that the operation of the Housing Grants Construction and Regeneration Act 1996 upon this Agreement and the Ancillary Documents shall not affect the Parties' rights or obligations under this Agreement.

F  The relevant discharge terms are set out in Schedule 12 (Relevant Discharge Terms).

G  The Authority is a Best Value Authority under the Local Government Act 1999 and the functions in respect of which the Authority wishes to procure the delivery of the Project are Best Value functions.
