41.1  Voluntary Termination by the Authority

41.1.1  The Authority may terminate this Agreement at any time on or before the Expiry Date by complying with its obligations under clause 41.1.2 (Voluntary Termination by the Authority) below.

41.1.2  If the Authority wishes to terminate this Agreement under this clause 41.1 (Voluntary Termination by the Authority), it must give a Termination Notice to the Contractor stating:

(a)  that the Authority is terminating this Agreement under this clause 41.1 (Voluntary Termination by the Authority);

(b)  that this Agreement will terminate on the date specified in the Termination Notice which must be a minimum of twenty (20) Business Days after the date of receipt of the notice; and

(c)  whether the Authority has chosen to exercise its option under clause 41.1.3 below.

41.1.3  On termination, the Authority shall have the option to require the Contractor to transfer to the Authority all of its rights, title and interest in the Assets.  

41.1.4  This Agreement will terminate on the date specified in the Termination Notice referred to in clause 41.1.2  (Voluntary Termination by the Authority) above.
