Background

(A)  The Authority's objective is to provide a highway network which is safe affordable and facilitates the economic development of [place name] in a manner consistent with its other wider policies [and cross refer to detailed objectives in the Output Specification].

(B)  By virtue of, inter alia, Section 1(2) of the Highways Act 1980 the Authority is the highways authority for [♦] and desires to achieve best value from the existing highway infrastructure.

(C)  The Local Authorities (Contracting Out of Highway Functions) (England) Order 2001 and the Local Authorities (Contracting Out of Highway Functions) Order 1999 enable highway authorities to authorise another person or that person's employees to exercise certain of their functions in relation to management, maintenance, improvement and other dealings with highways in respect of which they are the relevant authority.

(D)  In accordance with the Government's Private Finance Initiative and pursuant to a notice published in the Official Journal of the European Union on [♦], the Authority invited expressions of interest from appropriately qualified consortia for services relating to the design, installation, operation, and maintenance of highway infrastructure and facilities within [♦] for a period of [twenty five (25)] years from the [Planned] Service Commencement Date.

(E)  The Service Provider has submitted proposals to the Authority setting out how it will meet the Authority's requirements relating to achieving the best value from the existing highway structure and the Authority has selected the Service Provider to carry out the Service pursuant to this Contract.

It is agreed:
