24.1  Service Provider Responsibility for Latent Defects

The Service Provider accepts entire responsibility for and shall be solely responsible for any Losses arising from any Latent Defect, and shall take all necessary steps to rectify and manage the consequences of any Latent Defect, except to the extent that the direct costs reasonably and properly incurred by the Service Provider in complying with such obligations (the Latent Defect Costs) exceed:

(a)  in the case of Non-Key Structures, the Latent Defects Cap;

(b)  in the case of Key Structures, the relevant Key Structure Latent Defect Cap.
