36.5  Quality Manager

The Service Provider shall appoint (or shall procure the appointment of) a person to act as a Quality Manager from the Service Commencement Date, to assist the Service Provider in the performance of its obligations under this clause 36 and:

(a)  the identity of the Quality Manager (and any replacement) shall be subject to the prior written approval of the Authority Representative (such approval not to be unreasonably withheld or delayed);

(b)  without limitation, the terms and conditions of the appointment of the Quality Manager shall require him to:

(i)  ensure the effective operation of the quality systems described in this clause 36;

(ii)  audit the quality systems at regular intervals and report the findings of such audit to the Authority Representative;

(iii)  review all quality systems at intervals agreed with the Authority Representative to ensure their continued suitability and effectiveness;

(iv)  liaise with the Authority Representative on all matters relating to quality management; and

(v)  report to the Service Provider on all matters relating to this clause 36.
