56.3  Assignment to the Authority

The Service Provider hereby assigns to the Authority with full title guarantee (free from all liens, charges, encumbrances and third party rights), as a present assignment of present and future rights, all right title and interest in and to:

(a)  the Data, all copies thereof and all Intellectual Property Rights in any Data in each case generated by or for the Service Provider and/or any Service Provider Party pursuant to this Contract;

(b)  any Intellectual Property Rights and goodwill generated by the Service Provider and/or any Service Provider Party through the use of the Trade Marks,

with the intent that they shall vest in the Authority forthwith upon the same coming into existence.
