56.11  Consequences of Termination/Expiry

Upon the earlier of the Expiry Date and the Termination Date:

(a)  the licence granted by the Authority to the Service Provider pursuant to clause 56.7 shall cease to have effect; and

(b)  the Service Provider:

(i)  shall cease use of the Data, the Trade Marks, and all other Authority Intellectual Property,

(ii)  return to the Authority or, at the Authority's request, destroy all copies (whether hard copy or electronic) of or embodying any of the Data and/or the Authority Intellectual Property (the Authority Materials) in its power, possession or control or any Service Provider Party; and

(iii)  at the request of the Authority, remove all references to the Trade Marks from any items, livery, cars, buildings, letterhead, systems or documents in its or any Service Provider Party's power, possession or control of the Service Provider for this purpose, the parties shall (acting reasonably) agree the time and manner of any required action and (in default of such agreement within twenty (20) Business Days after the Expiry Date or the Termination Date (as the case may be)), the Service Provider shall permit the Authority to enter on to the premises at any reasonable time or times, (save in an emergency), where the Authority Materials are held to identify and remove the Authority Materials.
