61.2  Continuing Obligations

Save as otherwise expressly provided in this Contract or as already taken into account in the calculation of any Termination Sum or other payment of compensation on termination pursuant to this Contract and notwithstanding the provisions of clause 90 (Sole Remedy):

(a)  termination of this Contract shall be without prejudice to any accrued rights or obligations under this Contract as at the Termination Date; and

(b)  termination of this Contract shall not affect the continuing rights of the Authority and the Service Provider under clause 48 (Payment and Financial Matters), clause 52 (Indemnities), clause 53 (Insurance), clause 54 (TUPE and Employment Matters), clause 55 (Pensions), clause 56 (Intellectual Property Rights), clause 57 (Confidentiality), clause 58 (Freedom of Information), clause 59 (Service Provider Records), clause 67 (Consequences of Termination/Expiry), clause 70 (Assignment and Sub Contracting), clause 80 (General Assistance and Co-Operation), clause 83 (Notices), clause 81 (Governing Law and Jurisdiction), Schedule 19 (Dispute Resolution Procedure), Schedule 21 (Payment Mechanism), Schedule 24 (Compensation on Termination), Schedule 27 (Insurance Matters) or any other provision of this Contract which is expressed to survive termination or which it is required to give effect to such termination or the consequences of such termination.75
