1  Basis of Sale

1.1  The Authority shall sell and the Service Provider shall purchase the Project Assets* in accordance with the terms of this Part 3 of Schedule 2 (Mobilisation), which shall govern such sale to the exclusion of any other terms.

1.2  An Authority Party is not authorised to make any representations concerning the Project Assets, unless confirmed by the Authority in writing.  In purchasing the Project Assets, the Service Provider acknowledges that it does not rely on any such representations which are not so confirmed, but nothing in this Part 3 of Schedule 2 (Mobilisation) affects the liability of either party for fraudulent misrepresentation.

1.3  Any advice or recommendation given by the Authority or an Authority Party to the Service Provider, a Service Provider Party or the employees or agents of the same as to the storage, application and/or use of the Project Assets is followed or acted on entirely at the Service Provider's own risk, and the Authority shall not be liable for any such advice or recommendation.
