3.7  Partnership

Without prejudice to clause 85 (Partnership) of this Contract, until such time as title in the Project Assets passes to the Service Provider in accordance with paragraph 3.6:

(a)  the Service Provider shall hold the Project Assets as the Authority's fiduciary agent and bailee and shall keep the Project Assets (except those Grit Bins in situ on the Project Network which are not stored in the Depot) properly stored, insured and identified as the Authority's property; and

(b)  the Authority may, at any time, require the Service Provider to deliver the Project Assets to the Authority and if the Service Provider fails to do so, the Authority may enter on the premises of the Service Provider or any relevant third party (including the Depot) where the Project Assets are stored and repossess the same.
