19  Local Government (Contracts) Act 1997

19.1  The Certification Requirements are intended to be satisfied by the Authority with respect to this Agreement before the end of the period within which the Certification Requirements must be satisfied for this Agreement to be a certified contract for the purposes of the Local Government (Contracts) Act 1997.

19.2  The Facility Agent, Security Trustee and the Service Provider hereby consent to the issue by the Authority of a certificate under Section 3 of the Local Government (Contracts) Act 1997 in respect of this Agreement.

19.3  The Parties acknowledge that failure by the Authority to issue a certificate in accordance with clause 19.2 shall, pursuant to clause 3.1 (Unenforceability of Contract) of the Contract, give rise to a right for the Service Provider to be paid by the Authority the sum equivalent to the Authority Default Termination Sum.  No additional compensation shall be payable by the Authority pursuant to this Agreement in such circumstances.

19.4  The relevant discharge terms within the meaning of Section 6 of the Local Government (Contracts) Act 1997 are set out in Section 2 of Schedule 13 (Compensation following Authority Default, Authority Voluntary Termination or Relevant Discharge Terms) of the Contract.  Where such terms apply and the Service Provider is entitled to compensation pursuant to the Contract, the Parties acknowledge that no additional compensation shall be payable by the Authority pursuant to this Agreement.
