56.5  Authority Default in Payment

If the Authority:

56.5.1  fails to make a payment to the Contractor in accordance with clauses 56.1 (Termination Sum) and/or 56.2 (Instalments) and/or 56.3 (Interest); or

56.5.2  breaches clause 70.1 (Restrictions on Transfer of this Agreement by the Authority),

the Contractor may issue a notice to the Authority declaring any unpaid and outstanding element of (as applicable) the Adjusted Estimated Fair Value of the Contract or the Base Senior Debt Termination Amount or the Revised Senior Debt Termination Amount (as relevant) together with any accrued but unpaid interest to be immediately due and payable.164
