14.5  Quality Manager

The Service Provider shall appoint (or shall procure the appointment of) a person to act as a Quality Manager from the Service Commencement Date, to assist the Service Provider in the performance of its obligations under this clause 14 and:

(a)  the identity of the Quality Manager (and any replacement) shall be subject to the prior written approval of the Authority Project Representative (such approval not to be unreasonably withheld or delayed);

(b)  without limitation, the terms and conditions of the appointment of the Quality Manager shall require him to:

(i)  ensure the effective operation of the quality systems described in this clause 14;

(ii)  audit the quality systems at regular intervals and report the findings of such audit to the Authority Project Representative;

(iii)  review all quality systems at intervals agreed with the Authority Project Representative to ensure their continued suitability and effectiveness;

(iv)  liaise with the Authority Project Representative on all matters relating to quality management; and

(v)  report to the Service Provider on all matters relating to this clause 14.
