21.6  Effect of Compensation Event

In the event that the Service Provider has complied with its obligations under clause 21.5:

(a)  the Planned Service Commencement Date or the relevant Milestone Completion Date (Projected) or, following the Planned Service Commencement Date, the Long Stop Date shall be postponed by such time as is reasonable for such a Compensation Event, taking into account the likely effect of the delay;

(b)  in the case of an additional cost being incurred or revenue being lost by the Service Provider:

(i)  on or before the last day of the Core Investment Programme Period; or

(ii)  as a result of Capital Expenditure being incurred by the Service Provider at any time,

the Authority shall compensate the Service Provider for the actual Estimated Change in Project Costs as adjusted to reflect the actual cost reasonably incurred and without double counting for revenue actually lost to the extent it could not reasonably have been mitigated within twenty (20) Business Days of receipt by the Authority of an invoice from the Service Provider supported by all relevant information;

(c)  in the case of a payment of compensation for the Estimated Change in Project Costs and/or without double counting loss of revenue that does not result in Capital Expenditure being incurred by the Service Provider as referred to in clause 21.6(b)(ii) but which reflects a change in the costs being incurred by the Service Provider after the Service Commencement Date, or relevant Milestone Completion Date (Projected), the Authority shall be entitled, at its option, to pay such Capital Expenditure either as a lump sum or by way of a revision of the Unitary Charge calculated in accordance with Schedule 14 (Revision of Base Case and Custody);

(d)  the Authority shall give the Service Provider such relief from its obligations under this Contract, as is reasonable for such a Compensation Event;

(e)  in the event that information is provided after the dates required by clause 21.5(b), then the Service Provider shall not be entitled to any extension of time, compensation, or relief from its obligations under this Contract in respect of the period for which the information is delayed;

(f)  if the parties cannot agree:

(i)  the extent of any compensation;

(ii)  the extent of the delay incurred;

(iii)  the relief from the Service Provider's obligations under this Contract;

(iv)  that a Compensation Event has occurred; or

(v)  that the Service Provider is entitled to any relief under this clause 21.6,

the matter shall be determined in accordance with the Dispute Resolution Procedure.
