39.5  Corrective Action

Subject to clause 39.4 and where the Required Action is necessary as a result of a failure by the Service Provider to carry out its obligations under this Contract (and it is practical to do so), the Authority shall not carry out any Required Action without first giving to the Service Provider an opportunity to take corrective action in response to the circumstances described in clause 39.1 with such period (having regards to the nature of the matter giving rise to the right to take such action) as may be specified by the Authority (acting reasonably) in the notice given pursuant to clause 39.2.  Where the Service Provider does not take corrective action within the period specified, the Authority shall be entitled to itself take the Required Action without further notice.
