41.9  Termination by the Authority for Breach of the Refinancing Provisions

If the Service Provider wilfully breaches paragraph 2.1 or paragraph 4 of Schedule 12 (Refinancing), then the Authority may terminate this Contract pursuant to this clause 41.9, by serving a Termination Notice on the Service Provider stating:

(a)  that the Authority is terminating the Contract pursuant to this clause 41.9;

(b)  that this Contract shall terminate on the date falling twenty (20) Business Days after the date of receipt of the notice; and

(c)  whether the Authority elects not to take a transfer of the Assets pursuant to clause 45.6 (Transfer of Assets),

and this Contract shall terminate on the date falling twenty (20) Business Days after the date of receipt of the Termination Notice.
