41.10  Termination by the Authority on an Authority Break Point Date57

Without prejudice to its rights under clause 41.1, the Authority may terminate this Contract on any of the Authority Break Point Dates by complying with its obligations set out below.

(a)  if the Authority wishes to terminate the Contract under this clause 41.10 it shall serve a Termination Notice on the Service Provider stating:

(i)  that the Authority is terminating this Contract under this clause 41.10;

(ii)  that this Contract shall terminate on the specified Authority Break Point Date, which shall be a minimum of [twenty (20)] Business Days after the date of receipt of the Termination Notice; and

(iii)  whether the Authority elects not to take a transfer of the Assets pursuant to clause 45.6 (Transfer of Assets),

and this Contract shall terminate on the specified Authority Break Point Date.
