Relevant Transfers (Clause 1.1)

2.23  Clause 1.1 makes it clear that TUPE will apply each time a provider of all or any of the Services, changes, thereby transferring contracts of employment except in relation to pension provision. The Contractor is responsible for ensuring that on any TUPE transfer ("Relevant Transfer") any Sub-Contractor it uses will also comply with their obligations under TUPE except on termination or expiry of the Agreement since at this point the outgoing Contractor will not have a relationship with the new provider and will therefore be unable to influence the new provider's actions.  The Contractor also agrees along with the Authority to indemnify each other against any direct losses arising from a breach of this provision by the other party.
