3  Payment

The Authority shall pay to the Service Provider:

(a)  the Termination Sum for Authority Default together with any interest on any [Base Senior Debt Termination Sum or Revised Senior Debt Termination Sum at the Senior Debt Rate]; or

(b)  the sums due pursuant to paragraph 2.2 of this Part 2 on or before the date falling forty (40) Business Days after the Notice Date.
