1.4  Precedence of Documentation

Notwithstanding the provisions of clause 1.3:

(a)  the provisions of the Payment Mechanism and Schedule 22 (Compensation on Termination) shall prevail in the event of any conflict or inconsistency between such provisions and the Main Body; and

(b)  the provisions of the Senior Lender's Direct Agreement shall prevail over this Agreement in the event of any conflict or inconsistency between the Senior Lender's Direct Agreement and this Agreement.
