7.1  Collateral Warranties

The Service Provider shall:

(a)  procure and deliver the Construction Warranty, a FM Contractor Direct Agreement, a Services Contractor Direct Agreement and/or a Collateral Agreement from each member of the Professional Team3 to the Authority within twenty (20) Business Days of the date of this Agreement to the extent that such documents were not delivered at Financial Close;

(b)  not engage any new Sub-Contractor or any new member of the Professional Team in connection with the Project Operations unless the relevant new Sub‑Contractor or new member of the Professional Team has delivered to the Authority a duly executed agreement substantially in the form of the relevant Authority Collateral Agreement duly executed as a deed.
