21.1  Final Commissioning Plan

The parties shall agree the Final Commissioning Plan in accordance with the procedure set out below:

(a)  not less than twelve (12) months before the Planned Completion Date, the Authority shall provide to the Service Provider a draft of the Final Commissioning Plan as jointly developed by the Authority and the Service Provider in accordance with the provisions of Schedule 7 (Outline Commissioning and Completion Criteria);

(b)  the Service Provider shall provide the Authority with comments on the draft Final Commissioning Plan submitted to it no later than four (4) months before the Planned Completion Date;

(c)  the parties shall, within twenty (20) Business Days of receipt by the Authority of the Service Provider's comments agree the terms of the Final Commissioning Plan.  Provided that the Authority may, after the date of agreement, by prior notice to the Service Provider, change the scope and time of the Authority Commissioning and reimburse the Service Provider its reasonable costs incurred as a result of such change in scope or time;

(d)  if the parties are unable to agree the Final Commissioning Plan or the change in scope or time of the Authority Commissioning within twenty (20) Business Days of receipt by the Authority of the Service Providers comments or receipt by the Service Provider of any changes in Authority Commissioning requested by the Authority, the matter shall be referred for determination in accordance with the Dispute Resolution Procedure.
