38.3  Agreement of Report

The parties shall meet within five (5) Business Days of receipt of the Payment Report by the Authority and endeavour to agree the amount due to the Service Provider for the relevant Contract Month.  Within five (5) Business Days of such meeting the Service Provider shall issue an invoice for the agreed undisputed amount (if any) and for any VAT payable by the Authority in respect of that amount.
