41.1  Delivery to Custodian

Immediately after the Commencement Date, the Service Provider shall deliver two (2) copies of the Financial Model to the Custodian (both on disc and in hard copy) to be held in custody in accordance with the provisions of the Custody Agreement and:

(a)  either party shall have the right to inspect and audit the Financial Model at all reasonable times;

(b)  the parties shall instruct the Custodian to keep a copy of all versions of the Financial Model on disc and in hard copy; and

(c)  the parties shall comply with the provisions of paragraphs 3 to 6 (inclusive) of Schedule 23 (Custody and Revision of Base Case) in relation to custody and updating of the Financial Model.
