44.4  Calculation and Payment of Third Party Income

Twelve (12) months after the Actual Completion Date and each anniversary thereafter, the Service Provider shall deliver to the Authority a report setting out, for the period of the twelve (12) months prior to the date of such report:

(a)  details of all Third Party Use which took place in the Facilities or on the Site;

(b)  all income received whether directly or indirectly and whether by payment, set off or otherwise by the Service Provider in connection with such Third Party Use (Third Party Income);

(c)  any costs reasonably and directly incurred by the Service Provider in connection with the Third Party Use (Third Party Costs); and

(d)  the amount due to the Authority which shall be calculated by deducting the Third Party Costs from the Third Party Income and from such net figure calculating the Authority's share which shall be %.44
