54.4  Prohibited Act by Employee

If the Prohibited Act is committed by an employee of the Service Provider acting independently of the Service Provider, then the Authority may serve a Termination Notice on the Service Provider and this Agreement shall terminate, unless within twenty (20) Business Days of receipt of such Termination Notice, the Service Provider terminates the employee's employment and (if necessary) procures the carrying out of such part of the Works or the performance of such part of the Services by another person.
