54.5  Prohibited Act by Sub-Contractor

If the Prohibited Act is committed by a Sub-Contractor or by an employee of that Sub-Contractor not acting independently of that Sub-Contractor then the Authority may serve a Termination Notice on the Service Provider and this Agreement shall terminate, unless within twenty (20) Business Days of receipt of such Termination Notice the Service Provider terminates the relevant Sub-Contract and procures the carrying out of such part of the Works or the performance of such part of the Services by another person.
