58.6  Continuing obligations

Save as otherwise expressly provided in this Agreement or as already taken into account in the calculation of any Termination Sum or other payment of compensation on termination pursuant to this Agreement:

(a)  termination of this Agreement shall be without prejudice to any accrued rights and obligations under this Agreement as at the date of termination; and

(b)  termination of this Agreement shall not affect the continuing rights and obligations of the Service Provider and the Authority under clause 8 (Indemnities and Liability), clause 9 (Limits on Liability), clause 12 (Nature of Land Interests), clause 31 (TUPE and Employment Matters), clause 32 (Employment obligations on Termination/Expiry), clause 38 (Payment), clause 39 (Taxation), clause 39.8 (Insurance), Part K (Termination and Expiry), clause 63 (Intellectual Property), clause 64 (Freedom of Information Act), clause 65 (Confidentiality), clause 66 (Records and Reports), clause 73 (Dispute Resolution Procedure), clause 77 (Governing Law and Jurisdiction), clause 79 (Mitigation), clause 81 (Notices), Schedule 19 (Commercially Sensitive Information), Schedule 22 (Compensation on Termination), Schedule 24 (Handback Procedure) and Schedule 25 (Dispute Resolution Procedure) and or under any other provision of this Agreement which is expressed to survive termination or which is required to give effect to such termination or the consequences of such termination.
