Background

(A)  By an advertisement dated [   ] in the Supplement to the Official Journal of the European Union, the Authority sought proposals for the provision of leisure and associated services under the Private Finance Initiative of Her Majesty's Government.

(B)  The Authority has selected the Contractor to carry out the Project.

(C)  The parties intend that this Agreement be a certified contract for the purposes of the Local Government (Contracts) Act 1997.

(D)  The relevant discharge terms are set out in Schedule 12 (Relevant Discharge Terms).

(E)  The Authority is a Best Value Authority under the Local Government Act 1999 and the functions in respect of which the Authority wishes to procure the delivery of the Project are Best Value functions.
