44.7 Notice to Continue
If the Contractor gives notice to the Authority under clause 44.5 (Unable to Agree) that it wishes to terminate this Agreement, then the Authority has the option either to accept such notice or to respond in writing on or before the date falling ten (10) Business Days after the date of its receipt stating that it requires this Agreement to continue. If the Authority gives the Contractor such notice (the Continuation Notice), then:
(a) the Authority shall pay to the Contractor the Unitary Charge and any Loss of Revenue (to the extent that such Loss of Revenue arises as a direct result of the Force Majeure Event) from the day after the date on which this Agreement would have terminated under clause 44.5 (Unable to Agree) as if the Services were being fully provided; and
(b) this Agreement will not terminate until expiry of written notice (of at least [twenty (20)] Business Days) from the Authority to the Contractor that it wishes this Agreement to terminate.
