BACKGROUND

A.  The Authority wishes to enter into a strategic partnering contractual arrangement for a range of Services (defined below).

B.  By an advertisement dated [  ] in the Supplement to the Official Journal of the European Union, the Authority sought proposals pursuant to the / EU Consolidated Directive (2004/18/EC) and the Public Contracts Regulations 2006 (SI 2006 No 5) competitive dialogue procedure for the provision of [corporate and transactional services] for the Authority.

C.  Following a selection process and subsequent [negotiations/dialogue], the Authority has selected the Service Provider and the Service Provider has agreed to provide the Services in accordance with the terms of this Agreement.

D.  The Authority is a Best Value Authority under the Local Government Act 1999 and the functions in respect of which the Authority wishes to procure the Services are Best Value functions.

E.  The parties consent to this Agreement being a certified contract for the purposes of Section 4.3 of the Local Government (Contracts) Act 1997.

F.  The relevant discharge terms are set out in Schedule 25 (Relevant Discharge Terms).
